Through the receipt of unconfirmed information, the XXL Board has been made aware that the Chairman of XXL, Madam Yongrong Tong, who is also a Deputy of the 12th Peoples Congress, was "suspected of taking public deposits" and had been suspended from her position as a Deputy pending further investigation of the allegations. The XXL Board has not been able to establish what "taking public deposits" means, and despite many attempts, it cannot confirm the accuracy of the reports and allegations

Under listing rule 17.6, any entity (if not already suspended) that had not paid its annual listing fees by close of business on Friday 22 August 2014 is to be suspended from official quotation before the commencement of trading on Monday 25 August 2014. The company has not paid its annual listing fees in respect of the year ending 30 June 2015 but is already suspended from official quotation. In accordance with listing rule 16.5, entities that pay their annual listing fees on or after 22 August 2014 must pay by bank cheque only. Under listing rule 17.15, any entity that has not paid its annual listing fees as required by listing rule 16.5 by 5.00 pm EST on Friday 29 August 2014 will be removed from the official list with effect from the close of trading on Friday 29 August 2014.

Mr Xu wishes to purchase all of the issued ordinary shares in the capital of Xiaoxiao Education Limited held by Madam Yongrong Tong and to change the nature of the business of the company to involvement in the Chinese mining sector, delivering assets in that sector to the Company, specifically iron ore mining - At a General Meeting of Shareholders held on 20 December 2012, XXL Shareholders passed all Resolutions required to facilitate the transaction.

The Board of Xiaoxiao Education Limited (XXL), advises that it has received notice that XXL" Executive Chairman and majority Shareholder, Madam Yongrong Tong and Mr Xu Zi, Chairman designate of Australia China Mining Limited, have signed an extension of the Implementation Agreement already in place in relation to the previously announced, and Shareholder approved, restructure of the affairs of Xiaoxiao Education Limited. The Implementation Agreement contains, amongst other Conditions Precedent to the implementation of the Restructure, a requirement that Approval (as defined in clause 13.1 of the Implementation Agreement) be obtained on or before the End Date. Madam Tong, XXL and Mr Xu have agreed that an extension of their agreement is necessary in order to obtain the relevant approvals and, although an earlier completion date is anticipated, have consequently agreed to extend the End Date until 30 September 2013
