delisted at entity's request under Listing Rule 17.11

we understand that Thales Australia Holdings Pty Ltd acquired 100% of the shares in the Company, the consideration being $0.13 cash per Tesserent share

The scheme of arrangement under which it was proposed that Thales Australia Holdings Pty Ltd (Thales Australia) would acquire 100% of the shares in the Company; and the scheme of arrangement under which holders of certain of Tesserent options and warrants would have their Tesserent Options cancelled and extinguished in exchange for cash consideration, have today been implemented.

The company announces the strategic acquisition of Beyond Binary Pty Ltd, a firm specialising in the provision of security related services, including penetration testing, red team engagements, adversary/attack simulation and associated security consulting services. The consideration for the acquisition of Beyond Binary is approximately A$7m, which is payable in tranches and subject to certain standard adjustments. Completion of the acquisition is subject to a number of conditions precedent and is expected to complete by mid October 2023.

The following fully paid ordinary shares were released from voluntary escrow on the following dates: 8,304,119 (25 September 2023); 34,514,684 (25 September 2023).

The company releases a notification of cessation of securities.

The securities of Tesserent Limited will be suspended from quotation at the close of trading on Monday, 25 September 2023 under Listing Rule 17.2, following lodgement of the Federal Court of Australia orders with ASIC approving the scheme of arrangement by which Thales Australia Holdings Pty Ltd will acquire all of the issued capital in TNT.
