we understand H-G Ventures acquired the operations of this listed private equity fund in an off-market takeover - H-G Ventures offered 5 new H-G Ventures shares for every 9 SME Growth shares - subsequent to the close of the offer period on 22 May 2002, H-G Ventures issued approximately 30 million new H-G Ventures shares to former SME Growth shareholders
