we understand the Court approved a merger by way of Scheme of Arrangement with Biotech International Limited - under the scheme which was also approved by RAI's shareholders and optionholders, shareholders cancelled their holding in RAI on the basis of an issue of five shares in Biotech for every four RAI shares held - RAI options exercisable at $1.00 per share on or before 30 June 1999 were also to be cancelled, to be replaced by a new Biotech option on identical terms
