The scheme of arrangement pursuant to which Pensana Rare Earths plc will acquire all of the ordinary shares in Pensana has been implemented. All Pensana shares have been transferred to Pensana UK.An application has been made to remove Pensana from the official list of ASX as at the close of trade on 5 February 2020 or as soon as practicable thereafter.

Following discussions with ASX, trading in Pensana Rare Earth's securities is expected to commence on a normal settlement basis on 7 February 2020. Given the short timeframe between implementation of the scheme of arrangement and admission of Pensana UK to the official list of ASX, deferred settlement trading for Pensana UK CDIs will not occur.
