we understand Delta Acquisition LLC to be a wholly owned subsidiary of Newmont Mining Corporation ("Newmont") - shareholders whose Normandy shares were compulsorily acquired received the same consideration as shareholders that accepted the Newmont offer prior to the closing date ie. 50 cents per Normandy share and 38.5 Newmont CDIs (CHESS Depository Interests) for every 100 Normandy shares held - shareholders with a registered address in Australia received the cash portion of the consideration in Australian dollars and the securities portion in the form of Newmont CDIs, listed on the Australian Stock Exchange - ten CDIs represent one share of Newmont common stock which is listed on the New York Stock Exchange - the ATO has said a partial scrip-for-scrip roll-over was available but that roll-over was not available to the extent that Normandy shareholders received cash for their shares
