Nord Pacific Limited today announced the results of a special meeting of shareholders held on September 11, 2004 - shareholders and option holders approved an arrangement with Allied Gold Limited which includes an exchange of each outstanding Nord Pacific share for one Allied Gold share (subject to Canadian withholding tax obligations), the exchange of AUS$280,000 subordinated indebtedness owed by Nord Pacific to Nord Resources Inc. for 1,400,000 Allied Gold shares and the issuance of 1,431,482 Allied Gold shares to one Nord Pacific option holder who is "in the mone" and entitled to receive Allied Gold shares on the effective date of the arrangement

there is no news beyond what is reported below - the company has promised to put out a release as soon as there are substantive developments

company reports it is moving forward with PGM Ventures on the Simberi Gold Project and is currently updating its feasibility study to reflect current costs and gold price - there are no plans to hold a shareholder meeting in Australia - it is working on becoming current with filings so as to be eligible for relisting - company is also fighting the litigation instituted by Nord Resources Corporation - that company was unable to muster a quorum at the last shareholder meeting and it is adjourned to June 7
