we understand Guinness Peat Group (Australia) Pty Limited (GPGA) completed the compulsory acquisition of all outstanding shares and bonus options on 27 December 2002 and paid MEM the consideration due to security holders under the terms of the compulsory acquisition notices in accordance with Part 6A.3 of the Corporations Act 2001 - GPGA had previously made an off-market offer for all of the issued shares and options in MEM which it did not own at the time - GPGA offered $1.35 in cash for each MEM share and $0.67 in cash for each MEM listed option subject to various conditions	13/01/2003
