The Directors of ILH Group Limited are pleased to advise that the Deed of Company Arrangement was effectuated today, 8 April 2016.

The company releases the results of its meeting.

Following the execution of the varied Deed of Company arrangement with Benelong Capital Partners on 2 March 2016, the Company has called a General Meeting of Shareholders to be held 8 April 2016 at 11:00 am (Sydney time) at the premises of Nicols and Brien, Level 2, 350 Kent Street, Sydney NSW.

The company has executed a deed with counterparties including Bennelong Capital Partners Pty Limited pursuant to the terms of which the Deed of Company Arrangement originally entered into on 22 April 2015 was varied.

The company reapplied to the ASIC for financial reporting relief. Further relief in the form of a deferral of reporting obligations has been provided for the financial half year ending 31 December 2014, the full year ending 30 June 2015 and any financial year or half year of the company ending during the deferral period. ASIC has also granted an extension of time to hold the AGM to the earlier of two months after the date of termination of the external administration or 22 December 2015.

The following entity (ILH Group Limited) has not paid their annual listing fees in respect of the year ending 30 June 2016 but the securities are already suspended from official quotation. Under listing rule 17.15, any entity that has not paid its annual listing fees as required by listing rule 16.5 by 5.00 pm AEST on Monday 31 August 2015 will be removed from the official list with effect from the close of trading on Monday 31 August 2015

Notice is hereby given that completion of the Deed of Company Arrangement executed 22 April 2015 has not occurred by the due date. The Deed Administrators are currently assessing the options available, and will make a further announcement to the market in due course.

The company advises that they have applied to the Australian Securities and Investments Commission ("˜ASIC') for financial reporting relief. Relief in the form of a deferral of reporting obligations under Part 2M.3 of the Act, has been provided by ASIC for the financial half year ending 31 December 2014 and full year ending 30 June 2015. The deferral period ends on 23 October 2015 and accordingly reporting obligations will need to be met by the Company on or before this date.
