The scheme of arrangement between iCar and its shareholders other than the excluded shareholders has been implemented today, 10 February 2022. The scheme consideration of $0.53 per iCar share has been sent to independent iCar shareholders today in respect of iCar shares held as at 7:00pm (Sydney time) on 7 February 2022. Carsome Group Pte. Ltd. has today completed the acquisition of 42,905,042 iCar shares held by a subsidiary of Catcha Group Pte. Ltd pursuant to the Joint Bid Agreement between Carsome and Catcha dated 11 July 2021.	10/02/2022
The securities of iCar Asia Limited will be suspended from quotation at the close of trading on Wednesday, 2 February 2022 under Listing Rule 17.2, following lodgement of the Supreme Court of New South Wales orders with ASIC approving the scheme of arrangement by which Carsome Group Pte Ltd will acquire all of the issued shares in ICQ.	02/02/2022
