delisted for non-payment of annual listing fee under Listing Rule 17.15

Under Listing Rule 17.6, an entity (if not already suspended) that had not paid its annual listing fees by close of business on Wednesday, 21 August 2024 would have its securities suspended from Official Quotation before the commencement of trading on Thursday, 22 August 2024. The Company has failed to pay to ASX the annual listing fees for the year ending 30 June 2025, and each entity's securities are already suspended from quotation.

The securities of the company have been suspended for more than three months. If an entity does not meet the 1 or 2 year deadlines, it will be removed from the official list. The removal will usually take effect from the open of trading on the first trading day after the deadline date.

The liquidator of the company, Michael Korda, has released a declaration. He has declared that there is no possibility of shareholders receiving a distribution for their shares. Shareholders who acquired shares after September 20, 1985, may choose to make a capital loss in the income year ending May 3, 2024, due to CGT event G3, which is equal to the reduced cost base of the shares at the time of the declaration. Shareholders are advised to seek their own tax advice.

On 18 September 2023, the Court made the order extending the convening period to 22 January 2024. The second meeting of creditors must now be held at any time during the period up to, or within five business days after, the end of the convening period.

The Administrators have filed an application in the Federal Court of Australia seeking orders extending the time to convene the second meeting of creditors for the company for a period of up to 4 months to 22 January 2024. The extension will allow the best opportunity for the Receivers and Managers to obtain the highest sales price and maximise the return to creditors. The application is listed for hearing not before 2.15pm on 18 September 2023 in the Federal Court of Australia in Sydney.

The securities of Halo Food Co. Limited will be suspended from quotation immediately under Listing Rule 17.3, following the appointment of Rahul Goyal, Kate Conneely and Michael Korda of KordaMentha as Voluntary Administrators of the Comapny.

On 24 August 2023, Rahul Goyal, Kate Conneely and Michael Korda of Kordamentha, were appointed Administrators of the Company.
