KPMG Australia's David Hardy, Gayle Dickerson, James Stewart and James Dampney were jointly and severally appointed Receivers and Managers of BWX Limited, and the subsidiaries outlined in Schedule 1 on 4 April 2023. The appointment of Receivers follows a decision by the directors of BWX Limited to appoint FTI Consulting as Voluntary Administrators on 3 April 2023. The Good Collective Pty Ltd trading as Flora & Fauna has identified that a malicious code unlawfully inserted into the Flora & Fauna website may have resulted in customer credit card numbers and expiry dates being transmitted to an unauthorised third-party. Flora & Fauna, part of the BWX Digital Segment, operates the Flora & Fauna digital e-commerce platform. Approximately 2,500 customers who transacted on the Flora & Fauna website between 13 August 2022 and 29 September 2022 are today being notified of the possibility that the malicious code discovered on the Flora & Fauna website may have resulted in their credit card number and expiry date being transmitted to an unauthorised third party when the customer entered those details on the payment gateway for the site during this period.

The timeline to release the company's audited full year accounts has been extended with the release now expected in mid-November 2022. BWX proposes to defer its Annual General Meeting to after 30 November 2022.

12,256 Fully Paid Ordinary Shares subject to voluntary escrow arrangements will be released from voluntary escrow with effect on 7 October 2022. The voluntary escrow arrangements related to consideration for the acquisition of the Nourished Life business by the Company in 2017.

BWX requires additional time to prepare the Company's Appendix 4E due to certain revenue recognition issues for FY21 and 1H FY22 and the likely impairment of its intangible assets to a level significantly below their carrying value as previously foreshadowed to the market on 28 June 2022. These matters mean the Company is currently unsure whether or not it will meet its full year guidance for FY22, and the Company may need to restate its results for the FY21 and 1H FY22 financial years. BWX expects that its voluntary suspension will end on the completion of its Appendix 4E and audited accounts by 30 September 2022.

The securities of BWX Limited will be suspended from quotation immediately under Listing Rule 17.2, at the request of BWX, pending the release of its financial statements ending 30 June 2022.
