delisted following completion of the takeover offer under which MFS Limited acquired all of the issued ordinary shares in the Company

we understand MFS Limited (which had an existing 18.38% interest in BreakFree) made an off-market merger offer for all the shares it did not already own - three (3) new MFS shares were offered in exchange for each BreakFree share held - the offer valued BreakFree at $5.07 per share based on MFS's last closing price prior to announcement of the merger ($1.69 per share as at 25th January 2005)

MFS has completed the compulsory acquisition on 10 May 2005 of the remaining shares in the company by issuing 665,724 shares to BreakFree in respect of the 221,908 remaining shares in BreakFree that it did not already own - MFS expects BreakFree to be removed from the Official List of the ASX over the next few days

announces that it issued on 6 April 2005, 1,779,081 ordinary MFS Limited shares to shareholders who, as at 6 April 2005, had accepted MFS' offer described in the Notice of Acquisition lodged with the ASIC on 24 March 2005

enters into an unconditional contract for the $2.1 million purchase of management letting rights for a new Alpine Village resort in Queenstown, NZ

shares suspended from quotation following receipt (on 24 March 2005) of compulsory acquisition notices from MFS Limited
